Entreped, Inc. provides its services (described below) to you through its website (the "Platform") and related services (collectively, such services, including any new features and applications, and the Platform, the "Services"), subject to the following Terms of Service (as amended from time to time, the "Terms of Service"). If you are a seller you will be contracting with Entreped, Inc. For purposes of the following Terms of Service, “Entreped,” “we,” “us,” “our,” and other similar terms, shall refer to the party with whom you are contracting.

ARBITRATION AND CLASS ACTION WAIVER: EXCEPT AS OTHERWISE DESCRIBED IN THE DISPUTES SECTION BELOW, BY USING THE SERVICES, YOU AGREE THAT DISPUTES BETWEEN YOU AND US WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION AND YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. PLEASE REVIEW THE DISPUTES SECTION CAREFULLY; BY ENTERING THIS AGREEMENT, YOU EXPRESSLY ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTAND ALL OF THE TERMS OF THIS AGREEMENT.

We reserve the right, at our sole discretion, to change or modify portions of these Terms of Service at any time. If we do this, we will post the changes on this page and will indicate the date these terms were last revised. We will also endeavor to notify you, either through the Services user interface, in an email notification or through other reasonable means, and unless otherwise stated, Entreped may communicate with you officially by any reasonable means now known or later developed. These currently include email, regular mail, and postings on the Platform. Any such changes will become effective no earlier than fourteen (14) days after they are posted, except that (i) changes addressing new functions of the Services or changes made for legal reasons will be effective immediately, and (ii) changes or modifications to the provisions of these Terms of Service governing the Disputes section shall be made as specified therein.

Your continued use of the Services after the date any such changes become effective constitutes your acceptance of the new Terms of Service. To the extent allowed by law, the English version of these Terms of Service is binding and other translations are for convenience only. If you do not wish to accept the new Terms of Service, you may discontinue your use of the Services.

In addition, when using certain services, you will be subject to any additional terms applicable to such services that may be posted on the Services from time to time, including, without limitation, the Privacy Policy located at https://entreped.com/privacy. All such terms are hereby incorporated by reference into these Terms of Service (provided, however, that such other terms may be modified in accordance with their terms and, with respect to the use of the Services, these Terms of Service will take precedence in the event of conflict). All resolutions are decided by Entreped in our sole discretion, and all of our determinations are final.

The Services are offered as a platform to users of the Services, which may include products or services for sale or rent. Among other features, the Services are designed to allow a user to post a products & services to the Platform to accept monetary payments from those registered users wishing to purchase.

The Services are an administrative platform only. Entreped facilitates the transaction between sellers and buyers, but is not a party to any agreement between a seller or buyer, or between any user. Entreped is not a broker, agent, financial institution, creditor or insurer for any user. Entreped has no control over the conduct of, or any information provided by, a Seller, a Buyer or any other user, and Entreped hereby disclaims all liability in this regard to the fullest extent permitted by applicable law.

All information and content provided by Entreped through the Services is for informational purposes only, and Entreped does not guarantee the accuracy, completeness, timeliness or reliability of any such information or content. No content is intended to provide financial, legal, tax or other professional advice. Before making any decisions regarding any purchases, users or any products, services, information or content relating to the Services, you should consult your financial, legal, tax advisers or other professional advisor as appropriate. You acknowledge that all information and content accessed by you using the Services is at your own risk.

Entreped does not guarantee that a Seller or a Buyer will obtain a certain amount of sales. We do not personally endorse any Seller, or Buyer, and we make no guarantee, explicit or implied, that any information provided through the Services by a user is accurate. We expressly disclaim any liability or responsibility for the success of any product or service, or the outcome of any purchase. You, as a Buyer, must make the final determination as to the value and appropriateness of purchasing a product or service.

All purchases are at your own risk. When you make a purchase, it is your responsibility to understand what you are purchasing. Entreped is not responsible for any offers, promises, rewards or promotions made or offered by Sellers. We do not and cannot verify the information that Sellers supply, nor do we guarantee that the purchase will be used in accordance with any purpose prescribed by a Seller or Buyer. We assume no responsibility to verify whether the purchases are used in accordance with any applicable laws; such responsibility rests solely with the Seller or Buyer, as applicable. While we have no obligation to verify that the use of any funds raised is in accordance with applicable law and these Terms of Service, we take possible fraudulent activity very seriously.

You, as a Seller, represent, warrant, and covenant that (i) all information you provide in connection with a product or service is accurate, complete, and not otherwise designed to mislead, defraud, or deceive any user; (ii) all purchases to your storefront will be used solely as described in the materials that you post or otherwise provide; (iii) you will comply all relevant and applicable laws and regulations when you solicit funds, including, but not limited to, laws relating to your financial reporting obligations, marketing and solicitation for your project; (iv) you will comply with all relevant and applicable financial reporting obligations, including but not limited to laws and regulations relating to tax reporting, political contributions, and asset disclosures for your product or service; and (v) to the extent you share with us any personal data of any third party for any purpose, including the names, email addresses and phone numbers of your personal contacts, you have the authority (including any necessary consents), as required under applicable law, to provide us with such personal data and allow us to use such personal data for the purposes for which you shared it with us. You authorize Entreped, and Entreped reserves the right to, provide information relating to your products & servicers to buyers or law enforcement or to assist in any investigation.

You may be required to register with Entreped in order to access and use certain features of the Services. If you choose to register for the Services, you agree to provide and maintain true, accurate, current and complete information about yourself as prompted by the Services' registration form. Sellers must register using their true identities, including their name and any image or video purporting to depict the Seller or the beneficiary of such storefront. Registration data and certain other information about you are governed by our Privacy Policy. If you are under 13 years of age (16 in Europe), you are not authorized to use the Services, with or without registering. In addition, if you are under the age of majority in your jurisdiction (typically 18 or 19 years of age), you may use the Services, with or without registering, only with the approval of your parent or guardian. Certain aspects of our Services may also require you to register with, and agree to the terms of, third-party service providers (e.g., payment processors) in order to utilize such Services. For example, Stripe is one of Entreped’s payment processing partners. When you use Stripe’s services, your right to use such services is strictly confidential for the purpose you provide in the details of your registration. You may not resell, hire, or on any other basis, allow third parties to use the payment services to enable such third parties to be paid for their services. You may not use the payment services for any different purpose than as registered with our application. If Entreped or Stripe at any time discovers that the information you provided about you or the purpose of your payments is incorrect or changed without informing us or if you violate any of these conditions, the services may be suspended and/or terminated with immediate effect and fines may be applied by the credit card schemes and/or the authorities for unregistered use of payment services which will in such case be payable by you. Entreped will assist and support you in your use of the payment processing services to be provided by Stripe (i.e., the processor) and we will provide you with first-line assistance with and enable you to connect to the systems of Stripe to be able to use its services. For this purpose, you understand that you are instructing Stripe to provide Entreped with access to your data and setting in Stripe’s systems, which are used by Stripe to provide the services and authorize us to manage these on your behalf. While we may help facilitate such registration in some cases in connection with payment processors with which Entreped has partnered, we are not a party to any such relationships and disclaim any responsibility or liability for the performance by such third parties. Our processors may, in their sole discretion, require underwriting on any account, and you agree to cooperate with all underwriting requests. We may exchange information with such third-party services in order to facilitate the provision of Services (and related third party services) as set out in our Privacy Policy.

It is your responsibility to determine what, if any, taxes apply to the purchases you receive through your use of the Services. It is solely your responsibility to assess, collect, report or remit the correct tax, if any, to the appropriate tax authority.

You are responsible for maintaining the confidentiality of your password and account, if any, and are fully responsible for any and all activities that occur under your password or account. You agree to (a) immediately notify Entreped of any unauthorized use of your password or account or any other breach of security, and (b) ensure that you sign out from your account at the end of each session when accessing the Services. Entreped will not be liable for any loss or damage arising from your failure to comply with this Section.

Entreped reserves the right to modify, suspend or discontinue, temporarily or permanently, the Services (or any part thereof). We will endeavor to give you notice of any such modification, suspension or discontinuance. You agree that, to the extent permitted by law, Entreped will not be liable to you for any modification, suspension or discontinuance of the Services in accordance with these Terms of Service.

Some of your activity on and through the Services is public, such as content you post publicly on the website or Services. Additionally, user profile information, including your first and last name, public email address, organization, personal biography, and other information you enter in connection with your user profile may be displayed to other users to facilitate user interaction within the Services. Please remember that if you choose to provide information using certain public features of the Services, then that information is governed by the privacy settings of those particular features and may be publicly available. Individuals reading such information may use or disclose it to other individuals or entities without our control and without your knowledge, and search engines may index that information. We therefore urge you to think carefully about including any specific information you may deem private in content that you create or information that you submit through the Services. Please see our Privacy Policy for information on the ways that we may collect, use, and store certain information about you and your use of the Services.

Entreped does not sponsor, endorse or administer any individual, company or product/service on our platform. Each participant releases Entreped from any and all liability and all questions must be directed to the Seller and not to Entreped. Entreped reserves the right to suspend, cancel, or discontinue any product or service conducted in connection with the Services at any time for any reason, including without limitation to comply with applicable laws, rules, and regulations, and to take any actions we deem necessary, in our sole discretion, to protect our users, business partners, or business or the public.

You acknowledge that Entreped may establish general practices and limits concerning use of the Services, including without limitation the maximum period of time that data or other content will be retained by the Services and the maximum storage space that will be allotted on Entreped's servers on your behalf. You agree that Entreped has no responsibility or liability for the deletion or failure to store any data or other content maintained or uploaded by the Services. You acknowledge that Entreped reserves the right to terminate accounts or storefronts that are inactive for an extended period of time, provided that Entreped will use its commercially reasonable efforts to provide a Seller with reasonable notice before terminating an inactive storefront. You further acknowledge that Entreped reserves the right to change these general practices and limits at any time, in its sole discretion. We will endeavor to give you notice of any such change where required by applicable law.

You are solely responsible for all product/service descriptions, comments, videos, images, information, data, text, software, music, sound, photographs, graphics, messages or other materials ("content") that you upload, post, publish or display (hereinafter, "upload") or transmit or otherwise use via the Services. You agree to fully cooperate with any request by Entreped for evidence it deems in its sole discretion is appropriate to verify your compliance with these Terms of Service.

The following are examples of the kind of content and/or use that is illegal or prohibited by Entreped. However, this list is not exhaustive and Entreped reserves the right to investigate anyone by engaging public and private organizations, including, but not limited to collection agents, private investigators, and local, state, federal and applicable international agencies, and take appropriate action against anyone who, in Entreped's sole discretion, violates any of the terms or spirit of these Terms of Service (or the principles described in our preamble hereto), including, without limitation, removing the offending content, suspending or terminating the account of such violators, stopping payments to any such bank account, freezing or placing a hold on funds when Entreped reasonably believes it to be required by applicable law, and reporting you to law enforcement authorities or otherwise taking appropriate legal action including seeking restitution on behalf of itself and/or its users. Without limiting the foregoing, you agree to not use the Services to:



Additionally, with respect to all purchases you make or accept through the Services, you agree:
· not to make or accept any purchases that you know or suspect to be erroneous, suspicious or fraudulent;
· not to use the Services in or for the benefit of a country, organization, entity, or person embargoed or blocked by any government, including those on sanctions lists identified by the United States Office of Foreign Asset Control (OFAC);
· to maintain reasonable and standard security measures to protect any information transmitted and received through the Services, including without limitation by adhering to any security procedures and controls required by Entreped from time to time;
· to maintain a copy of all electronic and other records related to sales as necessary for Entreped to verify compliance with these Terms of Service, and make such records available to Entreped upon our request. For clarity, the foregoing does not affect or limit your obligations to maintain documentation as required by applicable laws, rules, regulations, or governmental authority; and · at Entreped’s request, including without limitation in case of investigations by Entreped, a payment processing partner, or a regulatory or governmental authority, fully cooperate in the auditing of such records, investigation of the relevant circumstances and remedy of any uncovered violation or wrongdoing.
· Entreped reserves the right to refuse, condition, or suspend any purchases or other transactions that we believe in our sole discretion may violate the Terms of Service or harm the interests of our users, business partners, the public, or Entreped, or that expose you, Entreped, or others to risks unacceptable to us. We may share any information related to your use of the Services with the appropriate financial institution, regulatory authority, or law enforcement agency consistent with our legal obligations. This information may include information about you, your account, your Buyers, your purchases, and transactions made through or in connection with your use of the Services.

In order to purchase on Entreped, a Buyer will be required to provide Entreped information regarding its credit card or other payment instrument (“Payment Instrument”) that is linked to the Buyer's account on the Services (a “Billing Account”). You, as a Buyer, represent and warrant to Entreped that such information is true and that you are authorized to use the applicable Payment Instrument. You agree that a certain minimum amount may apply, and that all payments are final and will not be refunded unless Entreped, in its sole discretion, agrees to issue a refund. Entreped uses third-party payment processing partners to bill you through your Payment Instrument and Billing Account for any purchases made, and Buyers acknowledge that by purchasing a product or service, the Buyer is agreeing to any and all applicable terms set forth by our payment partners (currently, Stripe, Inc.) in addition to these Terms of Service, Stripe’s terms of service.

Once a purchase is made, Entreped will transfer funds to the Seller via wire transfer using our service provider Stripe. Rarely, but occasionally, we may also place funds on hold. Some of the reasons that we may place a hold may include the following: (i) if we have reason to believe (in our sole discretion) that information provided by a Seller is false, misleading, or fraudulent, or that funds are being used in a prohibited manner, (ii) if the funds available (as determined by Entreped in its sole discretion) should be provided directly to a person other than the Seller (such as a legal beneficiary or person entitled by law to act on behalf of a Seller), (iii) if we have reason to believe that a Seller has violated these Terms of Service, or (iv) if Entreped determines that the Seller is colluding with buyers to engage in fraudulent activity, (v) if we have reason to believe (in our sole discretion) that there may be suspicious or fraudulent purchase activity, (vi) if required in order to comply with a court order, subpoena, writ, injunction, or as otherwise required under applicable laws and regulations.

: You acknowledge and agree that the Services may contain content or features ("Services Content") that are protected by copyright, patent, trademark, trade secret or other proprietary rights and laws. Except as expressly authorized by Entreped, you agree not to modify, copy, frame, scrape, rent, lease, loan, sell, distribute or create derivative works based on the Services or the Services Content, in whole or in part, except that the foregoing does not apply to your own User Content (as defined below) that you legally upload to the Services. In connection with your use of the Services you will not engage in or use any data mining, robots, scraping or similar data gathering or extraction methods. If you are blocked by Entreped from accessing the Services (including by blocking your IP address), you agree not to implement any measures to circumvent such blocking (e.g., by masking your IP address or using a proxy IP address). Any use of the Services or the Services Content other than as specifically authorized herein is strictly prohibited. The technology and software underlying the Services or distributed in connection therewith are the property of Entreped, our affiliates and our partners (the "Software"). You agree not to copy, modify, create a derivative work of, reverse engineer, reverse assemble or otherwise attempt to discover any source code, sell, assign, sublicense, or otherwise transfer any right in the Software. Any rights not expressly granted herein are reserved by Entreped.

The Entreped name and logos are trademarks and service marks of Entreped (collectively the "Entreped Trademarks"). Other company, product, and service names and logos used and displayed via the Services may be trademarks or service marks of their respective owners, who may or may not endorse or be affiliated with or connected to Entreped. Nothing in these Terms of Service or the Services should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any of Entreped Trademarks displayed on the Services, without our prior written permission in each instance. All goodwill generated from the use of Entreped Trademarks will inure to our exclusive benefit.

Under no circumstances will Entreped be liable in any way for any content or materials of any third parties (including users and Sellers) or any User Content (defined below, including, but not limited to, for any errors or omissions in any content, or for any loss or damage of any kind incurred as a result of the use of any such content. You acknowledge that Entreped does not pre-screen content, but that Entreped and its designees will have the right (but not the obligation) in their sole discretion to refuse, remove, or allow any content that is available via the Services. Without limiting the foregoing, Entreped and its designees will have the right to remove any content that violates these Terms of Service or is deemed by Entreped, in its sole discretion, to be otherwise objectionable.

With respect to the content, photos, videos, images, trademarks, logos, brands or other materials you upload or post through the Services or share with other users or recipients (collectively, "User Content"), you represent and warrant that you own all right, title and interest in and to, or otherwise have all necessary rights and consents to (and to allow others to) fully exploit, such User Content, including, without limitation, as it concerns all copyrights, trademark rights and rights of publicity or privacy related thereto. By uploading, sharing, providing, or otherwise making available any User Content, or any portion thereof, in connection with the Services, you hereby grant and will grant Entreped and its affiliated companies a nonexclusive, worldwide, royalty free, fully paid up, transferable, sublicensable, perpetual, irrevocable license to copy, display, upload, perform, distribute, store, modify and otherwise use your User Content in connection with the operation of the Services or the promotion, advertising or marketing thereof, in any form, medium or technology now known or later developed. Without limiting the foregoing, if any User Content contains your name, image or likeness, you hereby release and hold harmless Entreped and its contractors and employees, from (i) all claims for invasion of privacy, publicity or libel, (ii) any liability or other claims by virtue of any blurring, distortion, alteration, optical illusion, or other use or exploitation of your name, image or likeness, and (iii) any liability for claims made by you (or any successor to any claim you might bring) in connection with your User Content, name, image or likeness. You waive any right to inspect or approve any intermediary version(s) or finished version(s) of the results of the use of your User Content (including your name, image or likeness). Further, if any person (other than you) appears in your User Content, you represent and warrant that you have secured all necessary licenses, waivers and releases from such person(s) for the benefit of Entreped in a manner fully consistent with the licenses, waivers and releases set forth above. You further acknowledge that your participation in the Services and submission of User Content is voluntary and that you will not receive financial compensation of any type associated with the licenses, waivers, and releases set forth herein (or Entreped's exploitation thereof), and that the sole consideration for subject matter of this agreement is the opportunity to use the Services.

We do not guarantee that any Services Content will be made available through the Services. We reserve the right to, but do not have any obligation to, (i) remove, edit or modify any Services Content or User Content, in our sole discretion, at any time, without notice to you and for any reason (including, but not limited to, upon receipt of claims or allegations from third parties or authorities relating to such Services Content or User Content, or if we are concerned that you may have violated these Terms of Service), or for no reason at all and (ii) to remove or block any Services Content or User Content from the Services.

You acknowledge and agree that any questions, comments, suggestions, ideas, feedback or other information about the Services ("Submissions"), provided by you to Entreped are non-confidential and Entreped will be entitled to the unrestricted use and dissemination of these Submissions for any purpose, commercial or otherwise, without acknowledgment or compensation to you.

You acknowledge and agree that Entreped may preserve content and may also disclose content if required to do so by law or in the good-faith belief that such preservation or disclosure is reasonably necessary to (a) comply with legal process, applicable laws or government requests; (b) enforce these Terms of Service; (c) respond to claims that any content violates the rights of third parties; or (d) protect the rights, property, or personal safety of Entreped, its users or the public.

The Payment Card Industry Data Security Standard (PCI DSS) is a set of industry-mandated requirements for any business that handles, processes, or stores credit cards. The primary purpose of the standards is to maintain controls around cardholder data to reduce credit card fraud. As a service provider, Entreped is PCI DSS compliant and will maintain all applicable PCI DSS requirements to the extent that we possess or otherwise store, process, or transmit cardholder data on behalf of you, or to the extent that we can in any way impact the security of your cardholder data environment.
